July 2026 : The race to build smarter, faster, and highly automated manufacturing lines just gained a powerhouse player in India. To expand its technology footprint, Batliboi Limited has announced a ₹20 crore acquisition of Gujarat-based industrial automation and robotics specialist Penta Automation Systems Private Limited, along with its group company, PAtS Robotics Private Limited.
The buyout signals a significant evolution for Batliboi, a benchmark brand traditionally celebrated for its heavy legacy in machine tools, air engineering, and textile machinery. By bringing the profitable Penta Group under its wing, Batliboi directly establishes a stronghold in the rapidly expanding sectors of advanced factory automation and robotics integration.
Under the terms of the transaction, Batliboi will immediately secure an 80% stake in Penta for an upfront cash payment of ₹15.84 crore. The remaining 20% will be paid out as deferred consideration in five equal annual installments starting April 1, 2027. To maintain operational continuity and project momentum, Penta’s original founders, Dharmesh Mistry and Avani Mistry, will continue leading operations for the next five years, drawing on Batliboi’s massive customer network and financial muscle.
The acquisition comes at a time when the manufacturing sector is heavily pivoting toward digital transformation. Penta Group brings an impressive, profitable growth track record to the table, reporting a combined revenue of ₹25.17 crores for FY2025-26 while serving global blue-chip manufacturing clients.
